These Terms of Service (the "Terms") govern your access to and use of Guardian AI, an edge-AI surveillance and incident-intelligence platform provided by Navicore Technologies Private Limited ("Navicore Technologies", "we", "us", or "our"). Guardian AI is an enterprise product intended for authorized monitoring environments only. Please read these Terms carefully before accessing or using the platform.
By accessing or using the Guardian AI web dashboard, native mobile and desktop applications, edge hardware, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that organization, and "you" refers to that organization and its authorized users.
1. Acceptance of These Terms
These Terms form a binding agreement between you and Navicore Technologies Private Limited regarding your use of the Service. They apply to all visitors, customers, and authorized users who access or use the Service in any way.
Your access to and use of the Service is also subject to any separate written agreement, order form, or master services agreement executed between your organization and Navicore Technologies (a "Customer Agreement"). If there is a conflict between these Terms and a signed Customer Agreement, the Customer Agreement controls for the parties to that agreement.
By creating an account, accessing the dashboard at https://www.navicoretechnologies.com/dashboard/, installing or using our applications, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
2. Description of the Service
Guardian AI is an edge-AI surveillance and incident-intelligence platform. AI detection runs on the Guardian AI edge system installed at the customer's own site. Camera feeds and AI-generated alerts and incident metadata are delivered to authorized monitoring teams through a secure web dashboard and native mobile and desktop applications.
The Service is designed to assist and support authorized monitoring teams. It is built for authorized enterprise, industrial, critical-infrastructure, and smart-city customers, including environments such as electrical substations, facilities, campuses, and public infrastructure. The Service includes interface support for English plus several Indian languages.
Typical capabilities are designed to help authorized teams view live and recorded camera feeds, receive AI-generated alerts and incident metadata, and review related information. AI outputs are assistive only and may require human verification, as described in the section on AI limitations below. The Service is not an emergency service and does not replace emergency services, on-site security personnel, or professional monitoring.
4. Enterprise Access and Accounts
Access to the Service requires an account provisioned for an authorized customer organization. Accounts and credentials are issued to authorized users and are personal to the individual to whom they are assigned. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
- Keep your login credentials, authentication factors, and devices secure, and do not share them with anyone.
- Use only the access granted to you, and do not attempt to access accounts, sites, cameras, or data outside your authorization.
- Promptly notify us at support@navicoretechnologies.com if you suspect any unauthorized access to or use of your account or the Service.
- Ensure that any users you administer are themselves authorized, are bound by terms at least as protective as these Terms, and use the Service appropriately.
We may suspend or revoke access to any account where we reasonably believe there has been unauthorized access, a security risk, or a violation of these Terms. Your organization's administrators are responsible for managing the lifecycle of their users' access, including promptly removing access for individuals who are no longer authorized.
5. User Responsibilities and Acceptable Use
You agree to use the Service responsibly, professionally, and in compliance with these Terms and all applicable laws. As a condition of access, you agree to the following acceptable-use commitments.
- Use the Service only for its intended, authorized monitoring purposes and within the scope of your authorization.
- Do not interfere with, disrupt, or attempt to gain unauthorized access to the Service, our systems, edge hardware, or any associated networks or accounts.
- Do not reverse engineer, decompile, or attempt to derive source code or models from the Service, except to the extent such restriction is prohibited by applicable law.
- Do not introduce malware, conduct penetration testing without prior written authorization, or attempt to circumvent security, authentication, or access controls.
- Do not use the Service to build a competing product, to scrape or harvest data at scale, or to resell or sublicense access without authorization.
- Do not misrepresent your identity or authorization, or use the Service in any manner that could damage, disable, overburden, or impair it.
You are responsible for the conduct of all users under your organization's accounts and for ensuring that your use of the Service does not violate the rights of any third party.
6. Lawful Use, Notices, and Consent
You, as the customer, are solely responsible for the lawful deployment and operation of the Service at your sites. This includes determining and satisfying all legal requirements that apply to surveillance, video monitoring, audio capture, data collection, and processing in the jurisdictions where you operate.
- Posting any required signage and notices informing people that monitoring is taking place.
- Obtaining any consents, authorizations, permits, or registrations required by applicable law for your monitoring activities.
- Configuring camera placement, fields of view, retention periods, and access controls in a manner consistent with applicable privacy and surveillance laws.
- Honoring the rights of individuals under applicable data-protection and privacy laws, and responding to such requests as the controller or operator of the deployment.
- Maintaining your own records, policies, and legal basis for the monitoring you conduct using the Service.
Navicore Technologies provides the technology platform; it does not determine where or how you deploy it. We do not assume the role of controller, operator, or decision-maker for your monitoring program, and you agree that responsibility for lawful, compliant, and ethical deployment rests with you. You agree to comply with all applicable laws, regulations, and codes of practice in your use of the Service.
7. Prohibited Misuse
The Service is designed for authorized, lawful monitoring of sites and assets by authorized teams. The following uses are strictly prohibited, and engaging in any of them is a material breach of these Terms that may result in immediate suspension or termination and may be reported to appropriate authorities where required by law.
- Stalking, tracking, or following any individual.
- Harassment, intimidation, or any abusive use directed at any person.
- Voyeurism or any monitoring intended to observe individuals in places or situations where they have a reasonable expectation of privacy.
- Domestic, household, intimate-partner, or family surveillance, including monitoring a partner, spouse, family member, roommate, or any individual in a personal relationship.
- Monitoring, recording, or tracking any person without proper authorization and any legally required notice or consent.
- Covert or hidden surveillance of individuals, and any use intended to conceal monitoring from those being monitored where notice is required.
- Any use that is unlawful, discriminatory, defamatory, or that infringes the privacy, civil rights, or other rights of any person.
- Any other unlawful, abusive, or unauthorized use of the Service.
8. AI Limitations and No Reliance
Guardian AI uses artificial intelligence to assist and support authorized monitoring teams. AI-generated alerts, detections, classifications, captions, translations, and incident metadata are assistive outputs only. They are designed to help authorized teams identify items that may warrant attention; they are not determinations of fact and are not a substitute for human judgment.
- AI outputs may require human verification before any action is taken.
- The Service can produce false positives (flagging something that is not actually of concern) and false negatives (failing to flag something that is of concern).
- Detection performance can vary with lighting, weather, camera placement, occlusion, network conditions, configuration, and many other factors.
- Translations and captions across supported languages, including English and several Indian languages, are provided to assist comprehension and may contain inaccuracies.
- No specific level of detection accuracy, completeness, availability, or outcome is promised, and the Service should be treated as a support tool rather than a definitive source.
You must not rely on the Service as your sole or primary means of detecting, preventing, or responding to incidents. Authorized human operators remain responsible for reviewing, verifying, and acting on information from the Service, and for all decisions made in connection with it. Navicore Technologies is not responsible for actions taken or not taken in reliance on AI outputs.
9. Not an Emergency Service
The Service is designed to assist authorized monitoring teams with situational awareness. It does not provide alarm verification, guard response, or emergency dispatch, and it must not be used as a life-safety system or as a replacement for professionally monitored security, alarm, or emergency-response services. The Service may be unavailable at times and should never be relied upon for life-safety or emergency purposes.
You are responsible for maintaining appropriate independent emergency-response and security arrangements for your sites and for ensuring that your personnel know how to respond to emergencies without dependence on the Service.
10. Service Availability and Changes
We strive to keep the Service available and reliable, but we do not promise uninterrupted or error-free operation. The Service depends on factors outside our control, including your edge hardware, cameras, on-site power and networking, internet connectivity, and third-party infrastructure.
The Service may be unavailable from time to time due to maintenance, updates, technical issues, or circumstances beyond our reasonable control. We may perform scheduled or emergency maintenance and may modify, suspend, or discontinue features of the Service. Where reasonably practicable, we will provide notice of material changes that significantly affect availability.
We may update, improve, or change the Service and its features over time. Any specific availability commitments, support levels, or service-level terms, if applicable, are set out in your Customer Agreement rather than in these Terms.
11. Intellectual Property
The Service, including all software, models, AI systems, dashboards, applications, documentation, designs, text, graphics, and other materials, and all intellectual property rights in them, is owned by Navicore Technologies or its licensors and is protected by intellectual property and other laws. "Guardian AI", "Navicore Technologies", and related names and logos are marks of Navicore Technologies.
Subject to these Terms and any applicable Customer Agreement, Navicore Technologies grants your organization a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your authorized internal monitoring purposes during the term of your access. No other rights are granted, and all rights not expressly granted are reserved.
You must not copy, modify, distribute, sell, lease, or create derivative works of the Service, or remove or alter any proprietary notices, except as expressly permitted by these Terms or applicable law. As between you and us, you retain your rights in your own camera feeds and data, subject to the licenses needed for us to provide and support the Service as described in our Privacy Policy and any Customer Agreement.
12. Third-Party Services
The Service may operate with, or rely on, third-party hardware, software, networks, and services, including cameras, streaming relays, hosting providers, application distribution platforms, and other components. These third-party products and services are subject to their own terms and policies.
We are not responsible for the availability, performance, accuracy, or practices of third-party products or services that we do not control. Your use of any third-party product or service is at your own risk and may be subject to separate agreements between you and the relevant third party. If you access the applications through a mobile or desktop app store, your use of those apps may also be subject to that store's terms.
13. Disclaimers of Warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. Navicore Technologies disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free from harmful components, that defects will be corrected, or that the Service will detect every event or meet your particular requirements. We make no warranty regarding the accuracy, reliability, or completeness of any AI-generated outputs, which are assistive only and may require human verification and may produce false positives and false negatives.
No advice or information, whether oral or written, obtained from us or through the Service, creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow certain warranty exclusions, so some of the above exclusions may not apply to you.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Navicore Technologies and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages.
Without limiting the foregoing, and because the Service is assistive only and is not an emergency service, Navicore Technologies will not be liable for any failure to detect, prevent, or respond to any incident, or for any decisions, actions, or omissions made by you or any user in reliance on the Service or its AI-generated outputs.
To the maximum extent permitted by applicable law, the total aggregate liability of Navicore Technologies arising out of or relating to the Service and these Terms will not exceed the total amounts paid by your organization to Navicore Technologies for the Service during the twelve (12) months immediately preceding the event giving rise to the liability, or, where a different cap is specified in your Customer Agreement, the cap set out in that Customer Agreement. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
15. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Navicore Technologies and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to: (a) your use of the Service; (b) your deployment of the Service, including any signage, notices, or consents you were responsible for providing; (c) your violation of these Terms or applicable law; or (d) your violation of the rights of any third party.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim. This section survives termination of these Terms.
16. Account and Data Deletion
You may request deletion of your account and its associated personal data at any time. Guardian AI accounts are created and managed by your organization's authorized administrator; there is no public sign-up and no in-app account-deletion control. You can initiate deletion either by contacting your organization's administrator or by emailing our privacy team.
- Through your administrator: ask your organization's authorized administrator to remove your account and its associated personal data; administrators can deactivate and delete the users they manage.
- By email: email privacy@navicoretechnologies.com from the address associated with your account, telling us you would like your account and data deleted.
When your deletion request is processed, we delete or irreversibly anonymize the personal data associated with your account, including your account profile, login credentials, contact details, in-app preferences, push-notification tokens, and personal usage and activity records linked to you, except for data we are required or permitted to retain as described below. We will acknowledge your request and complete verified deletion within 30 days of receipt, unless a longer period is required by applicable law, in which case we will inform you.
Enterprise and administrator note: where the Service is provided to your organization, your organization (or its administrator) is the data controller for camera feeds, detections, incident records, and other operational data captured through its deployment. Deletion of your individual account does not, by itself, delete organization-owned operational data. Requests to delete organization-owned data, or to delete an entire organization workspace, are handled through your organization's administrator and the controls and processes described in your Customer Agreement; if you are an administrator, contact privacy@navicoretechnologies.com to arrange this.
Legally retained data: we may retain a limited subset of data where retention is required to comply with legal, tax, accounting, or regulatory obligations, to resolve disputes, to enforce our agreements, or to protect against fraud and abuse. Any retained data is kept only for as long as necessary for those purposes and is then deleted or anonymized. Once deletion is completed, it is permanent and the deleted data cannot be recovered.
17. Termination
We may suspend or terminate your access to the Service, in whole or in part, at any time if you breach these Terms, if we reasonably believe your use poses a security, legal, or safety risk, if required to comply with law, or as otherwise permitted under your Customer Agreement. Where reasonably practicable and appropriate, we will provide notice.
You may stop using the Service at any time. Termination of access does not relieve you of obligations that accrued before termination. Provisions that by their nature should survive termination, including those on prohibited misuse, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.
Handling and deletion of data following termination are addressed in the Account and Data Deletion section above, our Privacy Policy, and any applicable Customer Agreement. For data-deletion requests, contact privacy@navicoretechnologies.com; we will respond within 30 days.
18. Governing Law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of India, without regard to conflict-of-laws principles, except where overridden by mandatory local law that applies to you. Navicore Technologies Private Limited is registered in India, and its registered place of business is in Mumbai, Maharashtra, India.
Subject to any mandatory law that applies to you, the courts located in Mumbai, Maharashtra, India will have jurisdiction over disputes arising out of or relating to these Terms or the Service. The specific governing-law jurisdiction, venue, and any dispute-resolution mechanism applicable to your organization may be set out in your Customer Agreement, which will control for the parties to that agreement. The registered business address of Navicore Technologies is R. No. 94, Kamgar Nagar, Shell Colony Road, Mumbai, Maharashtra 400071, India.
19. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, our practices, or legal requirements. When we make material changes, we will update the effective date and, where appropriate, provide additional notice through the Service or other reasonable means.
Your continued access to or use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service. Where a Customer Agreement specifies a different process for changes, that process applies to the parties to that agreement.
